The name that you choose for a Texas corporation must be distinguishable from any other registered or authorized Texas business entity and any reserved names on record. The name of the corporation must contain one of the following words as a corporate identifier:
Corporation, “Company”, “Incorporated” or contain the abbreviation “Inc.”, Corp.” or “Co.”.
Specific Purpose Requirements:
Texas does not require a specific purpose to be listed in the Certificate of Incorporation.
Texas has the following director requirements for a corporation.
Number of directors required: One or more
Residence requirements: No Requirement
Age requirements: Must be a natural person at least 18 years old
Directors are required to be listed in the Articles / Certificate of Incorporation.
Officers (President, Vice President, Secretary and Treasurer) are not required to be listed in the articles / certificate of incorporation.
The “standard” number of authorized shares in Texas is 1000 shares, with “no-par” value. An increase in the number of authorized shares or par value may affect the initial filing fees.
There is a Franchise Report that must be received by the state of Texas by May 15th. The fee for this filing is: None – No fee is required

S Corporation status is not recognized by the State of Texas. A state election, separate from the federal election, is not required.
